1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of our marketplace platform (the "Platform"), which connects buyers and sellers of digital goods and enables direct negotiation through an in-platform chat system. By creating an account, browsing listings, sending or receiving messages, or completing a transaction on the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.
These Terms constitute a binding legal agreement between you and the Platform operator. If you are using the Platform on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity.
2. Definitions
- "Platform" refers to the website, application, and related services operated by us that facilitate the listing, discovery, negotiation, and sale of digital goods.
- "Digital Goods" means any non-physical item offered for sale through the Platform, including but not limited to digital accounts, licenses, software, digital media, in-game items, or similar intangible products.
- "Seller" means a user who lists Digital Goods for sale on the Platform.
- "Buyer" means a user who purchases or attempts to purchase Digital Goods through the Platform.
- "Chat System" means the in-platform messaging tool used by Buyers and Sellers to negotiate price, terms, and delivery of a listing.
- "Held Funds" means the purchase amount paid by a Buyer that is temporarily held by the Platform prior to release to the Seller.
- "Release of Funds" means the Buyer's confirmation, made through the Platform, that Held Funds should be transferred to the Seller.
3. Eligibility and Accounts
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account and use the Platform. By registering, you represent that all information you provide is accurate, current, and complete, and you agree to keep it updated.
You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account. We are not liable for any loss arising from your failure to safeguard your login information.
We reserve the right to refuse registration, or to suspend or terminate any account, at our sole discretion, particularly where we suspect fraud, abuse, or violation of these Terms.
4. Description of the Platform
The Platform serves as a neutral venue where Buyers and Sellers of Digital Goods can meet, communicate, negotiate, and complete transactions. We do not manufacture, own, or control the Digital Goods listed by Sellers. We are not a party to the underlying sale agreement between a Buyer and a Seller; our role is limited to providing the technical infrastructure — listings, the Chat System, and a fund-holding mechanism — that enables such transactions to occur.
We do not guarantee the existence, quality, legality, safety, authenticity, or fitness for any particular purpose of any Digital Goods listed. All descriptions, prices, and terms of a listing are set by the Seller, and any negotiated terms exchanged via the Chat System are the sole responsibility of the Buyer and Seller involved.
5. Listings and Digital Goods
Sellers may create listings describing the Digital Goods they wish to sell, including a description, an asking price, and any relevant conditions of sale. Sellers are solely responsible for ensuring that their listings are accurate, lawful, and do not infringe the rights of any third party.
We reserve the right to remove, edit, or reject any listing that we believe, in our sole discretion, violates these Terms, our Prohibited Items Policy, or applicable law, without prior notice.
Because the subject matter of transactions on the Platform is digital in nature, delivery typically occurs through transfer of credentials, license keys, files, account access, or similar digital means agreed upon between Buyer and Seller. The Platform does not verify the authenticity or ownership of Digital Goods prior to sale.
6. Direct Negotiation via Chat
A core feature of the Platform is the Chat System, which allows a Buyer to contact a Seller directly regarding a listing, propose an offer, and negotiate the final price and terms of a transaction before payment is made. Any price, condition, or promise exchanged through the Chat System is a private arrangement between the Buyer and Seller.
The Platform does not moderate, verify, or guarantee the truthfulness of statements made by either party in the Chat System. You acknowledge that negotiating and agreeing to terms through chat carries inherent risk, and you agree to exercise reasonable caution, including reviewing a Seller's or Buyer's history and reputation where available, before proceeding with a transaction.
We strongly encourage Buyers and Sellers to keep all transaction-relevant communication within the Chat System, as messages exchanged there may be used as a reference in the event of a dispute. Communication conducted entirely outside the Platform is done at each party's own risk and may not be considered in any dispute review.
7. Fees
Seller fee: 3% per completed transaction. The Platform charges a service fee equal to three percent (3%) of the final agreed transaction value, deducted from the amount paid to the Seller upon Release of Funds.
Buyer fee: None. Buyers are not charged any service fee, commission, or tip by the Platform for using the Platform or completing a purchase.
The 3% fee is calculated based on the final price agreed between Buyer and Seller through the Chat System and confirmed at checkout, not the originally listed price. This fee compensates the Platform for providing the marketplace infrastructure, the Chat System, and the temporary fund-holding service described in Section 8.
We reserve the right to modify our fee structure at any time. Any change to fees will apply prospectively to transactions initiated after the change takes effect and will be communicated through the Platform or by other reasonable means.
Payment processors or financial institutions involved in transferring funds to or from your account may charge their own separate fees, which are not controlled by or payable to the Platform.
8. Payments and Fund Holding
When a Buyer agrees to purchase a listing, the Buyer pays the agreed amount through the Platform's payment system. These funds are held by the Platform as Held Funds and are not immediately transferred to the Seller. This mechanism exists to give the Buyer an opportunity to confirm receipt of the Digital Goods before funds are released.
Sellers agree not to demand, request, or accept payment for a listing through any channel outside the Platform's payment system. Circumventing the Platform's payment mechanism removes the protections described in this section and may result in suspension of your account.
Upon payment, the Seller is expected to deliver the Digital Goods to the Buyer in accordance with the terms negotiated via the Chat System, within any timeframe agreed upon by both parties.
9. Release of Funds — Final and Irrevocable
Once a Buyer releases Held Funds to a Seller, that release is final and cannot be reversed, cancelled, or refunded by the Platform under any circumstance. The decision to release funds rests entirely with the Buyer, and by clicking "Release Funds" (or an equivalent confirmation action), the Buyer is making a conclusive determination that the transaction has been completed to their satisfaction.
The Platform strongly encourages Buyers to fully inspect, verify, and test any Digital Goods received before confirming release of funds. Once released, no chargeback, reversal, refund request, or dispute submitted to the Platform will result in the return of funds already transferred to a Seller, except where required by applicable law or in cases of proven fraud committed directly against the Platform's payment infrastructure (as opposed to a dispute over the quality or nature of the Digital Goods themselves).
You acknowledge and agree that this is a deliberate design of the Platform intended to protect Sellers from after-the-fact reversals once a Buyer has affirmatively confirmed satisfaction, and that this finality is a material condition of using the Platform. If you are uncertain about the condition, authenticity, or functionality of any Digital Goods, you should not release funds until you are certain, and you may use the Chat System to request clarification, evidence, or additional verification from the Seller beforehand.
Refer to our separate Refund Policy and Escrow Policy for additional detail on how Held Funds are managed prior to release, and the very limited circumstances under which the Platform may intervene before a release decision has been made.
10. Buyer Responsibilities
- Review listings and Seller reputation carefully before initiating a transaction.
- Use the Chat System to clarify any terms, conditions, or expectations prior to payment.
- Inspect and verify Digital Goods promptly upon delivery, before releasing funds.
- Understand that releasing funds is a final, irreversible action, as described in Section 9.
- Provide accurate payment and account information.
11. Seller Responsibilities
- Ensure listings are accurate, lawful, and not misleading.
- Only sell Digital Goods that you have the legal right to sell or transfer.
- Deliver Digital Goods promptly and as described, in accordance with terms negotiated via the Chat System.
- Communicate honestly with Buyers regarding the nature, condition, and limitations of the goods sold.
- Comply with our Prohibited Items Policy at all times.
12. Prohibited Conduct
You agree not to, and not to attempt to:
- List, sell, or purchase items forbidden under our Prohibited Items Policy or applicable law;
- Circumvent, disable, or interfere with the Platform's payment or fund-holding mechanism;
- Use the Chat System to harass, threaten, defraud, or mislead another user;
- Create multiple accounts to evade suspension, manipulate fees, or manipulate reputation scores;
- Misrepresent your identity, the nature of a listing, or your intent to complete a transaction;
- Engage in money laundering or any transaction designed to disguise the origin of funds;
- Use bots, scrapers, or automated tools to access or interact with the Platform without authorization;
- Reverse-engineer, decompile, or otherwise attempt to extract the source code of the Platform.
Violation of this section may result in immediate suspension or termination of your account, forfeiture of pending Held Funds pending investigation, and, where applicable, referral to law enforcement.
13. Intellectual Property
All trademarks, logos, software, and content that make up the Platform itself (excluding user-generated listings and Digital Goods sold by Sellers) are owned by us or our licensors and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Platform without our prior written consent.
Sellers retain ownership of, or represent that they have the right to transfer, any Digital Goods they list, subject to the terms negotiated with the Buyer. By listing an item, a Seller grants the Platform a limited license to display, reproduce, and distribute the listing content for the purpose of operating the marketplace.
14. Disclaimers
The Platform is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Platform will be uninterrupted, secure, or error-free, or that any Digital Goods listed will meet your expectations.
We are not responsible for the conduct, whether online or offline, of any Buyer or Seller. Any dispute you have with another user regarding a transaction is between you and that user, and you release the Platform from any claims, demands, or damages arising out of or in connection with such disputes, to the fullest extent permitted by law.
15. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall the Platform, its owners, officers, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising out of or related to your use of the Platform.
Our total aggregate liability to you for any claim arising from these Terms or your use of the Platform shall not exceed the total fees actually paid by you to the Platform in the twelve (12) months preceding the event giving rise to the claim.
16. Indemnification
You agree to indemnify, defend, and hold harmless the Platform and its owners, officers, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your use of the Platform, your violation of these Terms, or your violation of any rights of another user or third party.
17. Suspension and Termination
We may suspend or terminate your access to the Platform at any time, with or without notice, if we believe you have violated these Terms, engaged in fraudulent or harmful conduct, or for any other reason at our sole discretion. Upon termination, any Held Funds associated with your account may be subject to review before disbursement.
You may close your account at any time by contacting us, provided that any pending transactions are resolved beforehand.
18. Dispute Resolution
If a disagreement arises between a Buyer and Seller before funds are released, either party may submit a dispute through the Platform for review, referencing the Chat System history as evidence. The Platform will make a good-faith determination based on the information available but is not obligated to resolve every dispute in a particular party's favor.
Disputes between you and the Platform arising from these Terms shall first be addressed informally by contacting us. If a resolution cannot be reached informally, such disputes shall be resolved through the mechanism, forum, and law specified in Section 19, unless otherwise required by applicable mandatory law.
19. Governing Law
These Terms shall be governed by and construed in accordance with the laws applicable in our place of establishment, without regard to conflict-of-law principles, unless otherwise required by mandatory local law applicable to you as a consumer.
20. Changes to These Terms
We may revise these Terms from time to time. We will indicate the date of the latest revision at the top of this page and, where changes are material, provide additional notice through the Platform. Your continued use of the Platform after any revision becomes effective constitutes your acceptance of the revised Terms.
